Position Summary:
Reporting to the Vice President and Head of Legal, the Legal Operations and Contracts Paralegal is responsible for leading the implementation and ongoing administration of the Company’s Contract Lifecycle Management (CLM) system, serving as the Company’s contracts administrator (including responsibility for review and maintenance of the Company’s agreement templates, and performing first-level review of incoming agreements against under the direction of the Head of Legal. The role also provides broader legal operations support, which may include compliance tracking, intellectual property docket support, and state licensing applications and maintenance to enable the Legal department to operate efficiently across its full range of responsibilities. This position supports the Legal function generally, but there may be opportunity to support stakeholders outside of Legal.
This position is expected to report the Palvella Therapeutics’ Headquarters located in Wayne, PA Monday through Thursday.
Key Responsibilities:
CLM System Implementation & Administration
- Lead configuration and rollout of the Company’s CLM platform, including workflow design, clause library setup, and template updates and migration.
- Serve as system administrator: manage user permissions, maintain templates and workflows, and troubleshoot day-to-day issues.
- Develop and deliver user training and reference materials for legal and business stakeholders.
Contract Administration, Review, and Diligence
- Manage contract intake, routing, and execution tracking, including signature and countersignature follow-up, and contract compliance (renewals, expirations, termination notice deadlines, etc).
- Triage incoming agreements and conduct first level reviews.
- Flag deviations from approved language and escalate substantive issues for attorney review and negotiation according escalation protocol developed in tandem with Head of Legal
- Conduct OIG/GSA exclusion list screening and sanctions checks for new and existing vendors and counterparties.
Compliance Support
- Work with Finance and Legal to support Sunshine Act / Open Payments tracking, including HCP/HCO engagement data collection and reconciliation with vendor data feeds.
- Maintain a master tracker of clinical trial agreement (CTA) status, budget/payment milestones, and key terms across sites.
- Support policy version control and training completion tracking for the Company’s compliance program.
- Assist with internal compliance monitoring and audit support as needed.
Litigation & Dispute Support (as needed)
- Support litigation hold notices, document preservation coordination, and organization of discovery materials.
Qualifications
Required Qualifications
- Bachelor’s degree.
- 7+ years of paralegal or legal operations experience, ideally in a pharmaceutical, biotech, or life sciences company.
- Strong organizational skills and demonstrated ability to manage multiple deadlines and workstreams independently.
- High attention to detail and comfort working directly with contract language and compliance data.
- Proficiency with Microsoft Office and document management systems.
Preferred Qualifications
- Experience implementing or administering a Contract Lifecycle Management (CLM) platform.
- Familiarity with Sunshine Act / Open Payments reporting requirements.
- Exposure to clinical trial agreements or other pharmaceutical/life sciences transactional documents.
- Notary public commission.
Core Competencies
Travel will be infrequent and typically with advanced notice.
